Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and HaulGrid ("HaulGrid," "we," "us," or "our") governing your access to and use of the HaulGrid truck dispatch software platform.

By creating an account, accessing, or using the HaulGrid platform, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

HaulGrid is a cloud-based truck dispatch and logistics management platform designed for construction materials hauling, aggregates, and bulk delivery operations. The platform includes features such as:

• Dispatch management and load assignment
• Fleet tracking and GPS monitoring
• AI-powered OCR for pit ticket scanning
• Invoicing and QuickBooks integration
• Driver mobile application
• Real-time reporting and analytics

Eligibility

You must be at least 18 years old and authorized to bind your organization to these Terms. By registering, you represent that all information provided is accurate and current.

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your users comply with these Terms

Multi-Tenant Architecture

HaulGrid operates as a multi-tenant SaaS platform. Your data is logically isolated from other customers but may reside on shared infrastructure. We maintain strict access controls and data separation protocols.

Subscription Plans

Access to HaulGrid requires a paid subscription. Pricing is based on the selected plan and number of users, trucks, or other metrics as specified at the time of purchase.

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• You authorize us to charge your payment method on file
• Failure to pay may result in suspension or termination of access

Price Changes

We may modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree not to:

• Violate any applicable laws or regulations
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the platform or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the platform to transmit spam or unsolicited communications
• Interfere with or disrupt the platform's operation
• Share your account credentials with unauthorized parties
• Use the platform for any illegal or fraudulent purpose

By providing a mobile phone number to HaulGrid or to a HaulGrid customer for dispatch, fleet partner, driver, subcontractor, or customer contact purposes, you agree to receive operational SMS notifications related to HaulGrid services.

Messages may include dispatch assignments, order updates, pickup and delivery information, material details, load counts, start times, ticket reminders, settlement-related notifications, and other hauling-related operational communications.

Message frequency varies depending on dispatch activity. Message and data rates may apply.

You may opt out of SMS messages at any time by replying STOP. You may request help by replying HELP.

SMS messages are transactional and operational in nature. HaulGrid does not use these messages for marketing or promotional campaigns.

Your Data

You retain all ownership rights to the data you input into HaulGrid ("Customer Data"). This includes dispatch records, driver information, tickets, invoices, and other operational data.

License to HaulGrid

You grant HaulGrid a limited, non-exclusive license to use, process, and store Customer Data solely to provide and improve the platform services. This includes:

• Processing OCR scans of uploaded pit tickets
• Running AI optimization algorithms on dispatch data
• Generating reports and analytics
• Aggregating anonymized usage data to improve services

Data Export

You may export your data at any time through the platform's export functionality.

We strive to maintain high availability but do not guarantee uninterrupted access. The platform may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Third-party service outages (e.g., Supabase, Mapbox)
• Force majeure events beyond our control

We are not liable for any damages resulting from service interruptions.

HaulGrid integrates with third-party services including QuickBooks, Mapbox, and OpenAI. Your use of these integrations is subject to their respective terms of service. We are not responsible for:

• The availability or functionality of third-party services
• Changes to third-party APIs or pricing
• Data handling practices of third-party providers

The HaulGrid platform, including all software, designs, graphics, and content, is the proprietary property of HaulGrid and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on the platform without our express written permission.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HAULGRID DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Accuracy or completeness of data or AI-generated results
• Uninterrupted or error-free operation
• Security or freedom from viruses

You are solely responsible for verifying all data, including OCR-scanned tickets and AI-generated optimizations, before relying on them for business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULGRID SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from service interruptions or data loss
• Errors in OCR scanning or AI-generated recommendations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HAULGRID IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless HaulGrid, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any third-party rights
• Customer Data you submit to the platform

Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial periods.

Termination by HaulGrid

We may suspend or terminate your access immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is delinquent on payment
• We are required to do so by law
• Your use poses a security risk to the platform or other users

Effect of Termination

Upon termination, your access will cease, and we may delete your Customer Data after a 30-day grace period. You are responsible for exporting any data you wish to retain before termination.

We may modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days in advance. Continued use after the effective date constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HaulGrid.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign them freely.
